Phishing—or “vishing”—scams impersonate SED employees or websites attempting to collect licensure and personal information from the licensee. If you receive an inquiry which you believe to be suspicious do not provide any information. To verify if the inquiry was from OP, contact OP directly using the following contact information. Please note that an entity will not be listed on the New York State Education Department, Office of the Professions website until a certified copy of the Department of State filing is received.


How to File a Domestic NYS Professional Corporation (P.C.)

Checklist of Requirements:  Filing a Domestic NYS Professional Corporation

Please make sure your check or money order is made payable to the NEW YORK STATE EDUCATION DEPARTMENT.

This professional entity must be comprised of licensed professionals and can only provide one professional service (with the exception of Architecture, Land Surveying, Professional Engineering, Geology, and/or Landscape Architecture).

  • The filer must submit a fully executed (signed by a shareholder, officer or director of proposed corporation) Certificate of Incorporation filed under Section 1503 of the New York State Business Corporation Law and send with the required filing fee of $90.00 (check or money order made payable to the New York State Education Department).
     
  • The filer must submit a completed Professional Corporations Corporate Contact Information Form.

  • We will attach a Certificate of Authority that gives authorization to the P.C. to practice the stated profession and attests that all shareholders, officers and directors of the proposed professional corporation are authorized to practice such profession.
     
  • The filer must then submit both documents to the New York State Department of State for incorporation (www.dos.ny.gov).
     
  • Upon filing with the New York State Department of State, the filer is required by law to submit to the Education Department a Certified Copy of the Certificate of Incorporation along with a $20.00 filing fee (check or money order made payable to the New York State Education Department). A certified copy may be requested and obtained from the Department of State at the time of filing.
     
  • Upon receipt of the certified copy, the Department of Education will list the entity on the Office of the Professions website and the process is then complete.

How to File a Foreign NYS Professional Corporation

Checklist of Requirements: Filing a Foreign NYS Professional Corporation

This professional entity was originally established outside of NYS and is now seeking to provide professional services in NYS, and must be comprised of licensed professionals and can only provide one professional service (with the exception of Architecture, Land Surveying, Professional Engineering, Geology, and/or Landscape Architecture).

You must submit the following documents to our office to obtain a "Certificate of Authority" so you can file with the Department of State.

  • Application for Authority under Section 1530. Corporate indicator of P.C. must be added if not used in original state. P.C. is added to the second line of the first paragraph. Company name (same as original jurisdiction) must add P.C. in Article 1, second line if not used in state of origin.
     
  • Certificate of Incorporation/Certificates of Amendment filed in original jurisdiction to open a professional corporation, including verification of purpose.
     
  • Affidavit (signed by President of corporation) listing all current shareholders and directors, signed under penalties of perjury.
     
  • Satisfactory evidence of licensure in original jurisdiction for all shareholders/officers/ directors. This can be verification from the licensing authority website or a copy of their license or registration.
     
  • Proof of licensure and current registration in New York for at least one of the shareholders, officers and/or directors.
     
  • a completed Professional Corporations Corporate Contact Information Form.
  • Certificate of Assumed Name, if needed: Required to add a profession to title of corporation or bring the title into compliance with New York State requirements.

    Note: Fictitious names are only used if the original name is not available in New York State. If fictitious name must be used due to a name conflict identified by the Department of State, no Certificate of Assumed Name is required.
     
  • We will attach a Certificate of Authority that gives authorization to the P.C. to practice the stated profession and attests that all shareholders, officers and directors of the proposed professional corporation are authorized to practice such profession.
     
  • The filer must then submit both documents to the New York State Department of State for incorporation (www.dos.ny.gov).
     
  • Upon filing with the New York State Department of State, the filer is required by law to submit to the Education Department a Certified Copy of the Certificate of Incorporation along with a $20.00 filing fee (check or money order made payable to the New York State Education Department). A certified copy may be requested and obtained from the Department of State at the time of filing.
     
  • Upon receipt of the certified copy, the Department of Education will list the entity on the Office of the Professions website and the process is then complete.

How to File a Domestic NYS Professional Limited Liability Company (PLLC)

Checklist of Requirements:  Filing a Domestic NYS Professional Limited Liability Company

This professional entity must be comprised of licensed professionals and can provide multiple professional services (with the exception of medicine, dentistry, veterinary medicine, licensed clinical social work, mental health counseling, psychoanalysis, creative arts therapy, or marriage and family therapy).

Generally, the Education Law restricts the practice of a profession to individuals who are licensed or otherwise authorized to provide professional services (e.g., permit holders and students under supervision) and to entities (e.g., professional businesses, hospitals, public schools) that are authorized to employ licensed professionals or qualified persons. Prior to the enactment of licensure laws which restricted the practice of social work, mental health practitioner and psychology professions to those licensed in those professions and to authorized entities, any individual or business could provide certain services within the scopes of practice of these professions, including psychotherapy. However, licensure laws now restrict many of these services to licensed individuals and require that the delivery of such professional services be provided only by authorized individuals or entities authorized to employ licensed professionals or otherwise qualified persons.

While most not-for-profit and education corporations are prohibited from offering any professional services, chapters 130 and 132 of the Laws of 2010 created a new section 6503-a of the Education Law to establish a process through which the Department may grant a waiver to authorize qualified not-for-profit or education corporations to provide these professional services. The waived entities will be authorized to provide certain professional services, including psychotherapy, and to employ persons licensed or authorized to provide such professional services. Waived entities are subject to oversight and discipline by the Board of Regents.

  • Submit fully executed Articles of Organization filed under Section 1203 of the New York State Business Corporation Law together with the required filing fee of $10.00 per member/manager (check or money order made payable to the New York State Education Department).
     
  • Submit a completed Professional Corporations Corporate Contact Information Form.

  • We will attach a Certificate of Authority that gives authorization to the PLLC (LLC) to practice the stated profession and attests that all member/managers of the proposed professional limited liability company are authorized to practice such profession and return it to the filer.
     
  • The filer must then submit both documents to the New York State Department of State for incorporation (www.dos.ny.gov). Be sure to include the DOS filing fees.
     
  • Upon filing with the New York State Department of State, the filer is required by law to submit to the Education Department a Certified Copy of the Articles of Organization. A certified copy must be requested and obtained from the Department of State at the time of filing.
     
  • Upon receipt of the certified copy, the Department of Education will list the entity on the Office of the Professions website and the process is then complete.

How to File a Foreign NYS Professional Limited Liability Company

Checklist of Requirements: Filing a Foreign NYS Professional Limited Liability Company

This professional entity was originally established outside of NYS and is now seeking to provide professional services in NYS, and can provide multiple professional services (with the exception of medicine, dentistry, veterinary medicine, licensed clinical social work, mental health counseling, psychoanalysis, creative arts therapy, or marriage and family therapy).

Please be advised that all members/managers must be licensed in NYS and your home jurisdiction.

You must submit the following documents:

  • Application for Authority under Section 1306.
     
  • Certificate of Incorporation/Certificates of Amendment filed in original jurisdiction (with verification of purpose).

    Note: Please be aware that if your entity was originally formed to provide more than one profession, you must qualify to practice the same professions in New York State.
     
  • Affidavit (signed by the Managing Member or President) listing all current member/managers. Our office defines as a member/manager anyone who has any type of authority or control of the entity or who shares the profits/losses of the entity. This includes the Chairman, CEO, Vice President and other officers of the entity.
     
  • Satisfactory evidence of licensure in original jurisdiction for each member/manager of the corporation. This can be verification from the licensing authority website or a copy of their license or registration.
     
  • Satisfactory evidence of licensure and registration in NYS for each member/manager of the corporation.
     
  • Company name (same as original jurisdiction) must add PLLC in Article 1, second line if not used in state of origin.
     
  • A completed Professional Corporations Corporate Contact Information Form.
  • Certificate of Assumed Name, if needed. (This would be used to add a profession to title of corporation or bring the title into compliance with New York State requirements.)
     
  • We will attach a Certificate of Authority that gives authorization to the PLLC to practice the stated profession and attests that all shareholders, officers and directors of the proposed professional corporation are authorized to practice such profession.
     
  • The filer must then submit both documents to the New York State Department of State for incorporation (www.dos.ny.gov).
     
  • Upon filing with the New York State Department of State, the filer is required by law to submit to the Education Department a Certified Copy of the Certificate of Incorporation. A certified copy may be requested and obtained from the Department of State at the time of filing.
     
  • Upon receipt of the certified copy, the Department of Education will list the entity on the Office of the Professions website and the process is then complete.

Checklist of Requirements:  Filing a Design Professional Corporation

  • Submit a fully executed (signed by a shareholder, officer or director of proposed corporation) Certificate of Incorporation filed under Section 1503 (b)(1) of the New York State Business Corporation Law, with moral character attestations for un-licensed members attached and send with the required filing fee of $90.00 (check or money order made payable to the New York State Education Department) *Note that percentages of ownership for all members must be listed.
     
  • Submit a completed Professional Corporations Corporate Contact Information Form.
